Acceptance of Terms
Dot Direct Inc. o/a Ecommerce Online Solution (“Ecommerce Online Solution”), supplies certain packaging products and provides other services (the “Services”) to you through this website (“Website”) and access to and use of this Website and the Services are provided to you subject to your acceptance of and compliance with the following terms and conditions (“Terms”).
By using the Website or by indicating your acceptance to the Terms, you acknowledge that you have read, accepted, and agreed to these Terms. If you do not agree to these Terms, you may not use this Website.
Ecommerce Online Solution reserves the right to change these Terms at any time without prior notice and your continued access or use of this Website or the Services after such changes indicates your acceptance of the Terms as modified. Registration
To use certain areas of this Website, you must first complete the registration process to create an account (“Account”) and register a unique email and password (collectively, “Credentials”). You are solely responsible for maintaining the confidentiality of your Credentials and you will be held responsible for any harm caused by disclosing or resulting from any unauthorized use of your Credentials.
Privacy Policy
Your Credentials, Registration Data and any other information that you provide to us, whether through this Website or otherwise, as well as certain other information about you, is subject to Ecommerce Online Solution’s Privacy Policy (Add hyperlink)
Order Shipping and Delivery
Please note that all production and delivery dates which we may provide to you are estimates only. Shipping and delivery for orders are fulfilled by third-party shipping couriers and freight companies. While Ecommerce Online Solution uses reasonable efforts to prevent production and delivery delays, in no case shall Ecommerce Online Solution be liable for any consequential or other damages resulting from any such delays. Notwithstanding the foregoing, if applicable, Ecommerce Online Solution will refund or waive rush charges in the event of a delay. Customer has no right to cancel an order as a result of any delay.
In addition, Ecommerce Online Solution assumes no monetary liability for damage to customer products as a result of shipping; as damages are solely the responsibility of the courier or freight company fulfilling the delivery. In the event that the customer receives damaged products, Ecommerce Online Solution will assist the customer in opening an investigation to claim damages and compensation from the respective shipping company and initiate a resolution.
Production costs are subject to change based on changes in material, labor, and other cost considerations, which may be amended to take effect immediately.
The customer is responsible for all shipping/delivery charges, custom clearance fees, duties and taxes for the initial order and subsequent orders. Shipping costs are based on estimated conditions, packing size, weight, and current rates and are subject to amendment to meet potential changes in such costs between the date of quotation and the date of execution. Shipping rates for high quantity products depend on the customer’s access to a shipping dock and forklift, otherwise, additional charges may apply. Additional charges may apply for custom clearance, custom exam, and extra fees during transportation. The customer is responsible for providing any requested information during the shipping and customs clearance process. Failure to provide necessary information may result in delays, warehousing or storage fees. Ecommerce Online Solution disclaims all liability for any fees, charges, or penalties associated with customer’s non-compliance to shipping and customs clearance procedure.
Returns and Refunds
With all purchases, Ecommerce Online Solution provides a limited warranty. If we determine that any products were defective products (as described below), we will happily replace or discount the product sold. Since each order is unique to the customer and has no re-sale value, in all other cases, ALL SALES ARE FINAL. Any visible damage, reduction or loss shall be reported immediately upon the receipt of the goods, and be noted on the transport document or in another document. If shipping damage is discovered after receipt of goods, it must be reported within 3 days. The customer shall check the dimensions and artworks upon receiving the goods. Any issues must be reported within 14 days. If damage caused by packaging is discovered after receipt of goods, it must be reported within 14 days. Failing which, the customer is deemed satisfied with the product. Where a replacement is appropriate, the customer must first return 100% of the received product within 15 days (at their own expense) from the date the product was delivered. Ecommerce Online Solution is not responsible for shipping charges associated with the product return or exchange, or shipping charges that come with re-ordering product.
Defective Products and Liability
Ecommerce Online Solution determines that a product is a defective product if it has a structural or printing error from manufacturing or improper construction, cut or finish other than the following:

cracking which occurs when creased in printed areas as a result of over-expansion in paperboard material (which can occur due to the nature of paperboard);
-
minor cracking in the creased areas for non-laminated cardstock (this is normal);
-
cracking, bends, or scratches produced as a result of mishandling or shipping;
-
variance in the specifications, including style, dimensions, material, print options, print layout, finishing, that is within 2.5%; and
-
variances in color and density (including between any proof and final product).
Customer Submitted Artwork or Graphics
All artwork or designs and images must be provided in CMYK format and in accordance with our specifications. Ecommerce Online Solution is not responsible for any color shift that occurs in conversions from RGB to CMYK color modes. All artwork, designs, and images must be provided in a minimum of 300 DPI at 1:1 scale and CMYK color mode.
If your artwork files do not meet our specifications, Ecommerce Online Solution is not responsible for any printing errors (including images printed as fuzzy, distorted, or pixilated) that can arise as a result. Please follow our artwork specifications carefully to prepare and send us your artwork files.
Color Proofing and Matching
Ecommerce Online Solution is not liable for color matching or ink density on screen proofs approved by the customers. Screen proofs will predict design layout, text accuracy, image proportion, and placement, but not color or density. While we will try our best to match the gradient density of each color, Ecommerce Online Solution is not liable for the final appearance of a color.
Digital print samples may have color variance with final production orders due to different print methods and color reproduction processes.
Customer Content
You may elect to electronically upload or otherwise submit data, text, artwork, photographs, graphics, messages, or other materials (“Customer Content”) for inclusion in print and packaging products. You are solely responsible for all Customer Content.
By submitting Customer Content, you grant Ecommerce Online Solution a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, distribute, and otherwise disclose to third parties any Customer Content for order fulfillment. You also grant us the right to use your products on the Website and marketing channels for promotional purposes. You may opt out by emailing us at solutions@ecommerceonlinesolutions.ca.
By uploading or providing Customer Content, you warrant that you own or have permission to use the material, and you agree to defend and hold Ecommerce Online Solution harmless from any claims arising out of your breach of this warranty.
You agree not to send Customer Content that is: (a) unlawful, threatening, defamatory; (b) invades privacy; (c) furthers a crime; (d) infringes intellectual property; (e) contains malicious code.
Over or Underrun
We reserve the right to ship within 8% over or under the requested quantity. If a minimum quantity is necessary, please adjust your order accordingly.
Order Approval and Proofing
Ecommerce Online Solution assumes no obligation to proof your content. Orders are printed "as submitted" and customers are fully responsible for final approval. We recommend ordering custom production-grade prototypes for projects with strict requirements.
Orders will not be processed until production-ready proofs are approved in writing. Turnaround times start after final proof approval.
Payments
All prices are in Canadian dollars unless stated otherwise. We accept PayPal, wire transfer, credit cards, and checks. Production will begin only after full payment has cleared.
Payment Terms:
Payment is due [15/30] days from the invoice date.
Late Payment Charges:
16–30 days late → 2% late fee
31–60 days late → 5% late fee
90+ days late → Sent to collections (client responsible for legal and collection fees)
Contact Information and Shipping Address Changes
You are responsible for updating Ecommerce Online Solution with any changes to your contact or shipping info. Changes during production may incur additional fees.
Use of the Website
Copying or reproducing content for commercial use without written permission is prohibited. Ecommerce Online Solution reserves the right to suspend your access or take legal action for violations.
Trade-marks and Copyright
“Ecommerce Online Solution” and related marks are trademarks of Ecommerce Online Solution. All content is protected by copyright. Unauthorized use is strictly prohibited.
Third Party Links
Links to third-party sites are for convenience only. Ecommerce Online Solution does not control or endorse linked content and is not responsible for it.
Right to Refuse Service
Ecommerce Online Solution reserves the right to cancel or refuse any order or service at its sole discretion, including but not limited to cases where content is unlawful, offensive, or violates these Terms. Orders found to be misleading, fraudulent, or in violation of any laws may be canceled without prior notice. If your order is canceled after payment has been received, you will be notified and issued a refund for any unused portion of the order.
Indemnification
You agree to indemnify and hold harmless Ecommerce Online Solution, its officers, directors, employees, and agents from and against any and all claims, demands, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

your breach of these Terms;

your violation of any law or the rights of a third party; any content you submit, post, transmit, or otherwise make available through the Website or Services;

your use or misuse of the Services.
Disclaimer of Warranties
This Website and Services are provided on an “as-is” and “as-available” basis. Ecommerce Online Solution makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Ecommerce Online Solution does not warrant that the Website or Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Use of this Website and Services is at your own risk.
Limitation of Liability
To the fullest extent permitted by applicable law, Ecommerce Online Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunity, or data, arising out of or related to your use of or inability to use the Website or Services, even if advised of the possibility of such damages.
In no event shall Ecommerce Online Solution’s total liability to you for all claims, damages, losses, and causes of action exceed the amount paid by you to Ecommerce Online Solution in the six (6) months prior to the event giving rise to the claim.
Force Majeure
Ecommerce Online Solution shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, embargoes, government orders, natural disasters, telecommunications failures, or power outages.
Governing Law and Jurisdiction
These Terms and your use of the Website shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
Entire Agreement
These Terms constitute the entire agreement between you and Ecommerce Online Solution regarding the Website and Services and supersede all prior agreements and understandings, whether written or oral.
Severability
If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
Waiver
No waiver of any breach or default under these Terms shall be deemed to be a waiver of any preceding or subsequent breach or default.
